By accessing or using Cwoted ("the Service"), operated by Cwoted Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
Cwoted is a cloud-based platform that enables service businesses to create estimates, proposals, and invoices, share them with clients, and collect electronic signatures. The Service includes web-based applications and related APIs.
You must provide accurate, current, and complete information during registration. You are responsible for safeguarding your password and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
Cwoted offers a free tier with limited features and a paid Pro plan. Free accounts are limited to 5 estimates and 5 clients. We reserve the right to modify plan features, pricing, and limits with 30 days notice. Paid subscriptions are billed monthly through Stripe and renew automatically until cancelled.
New accounts receive a 14-day free trial of Pro features. No credit card is required to start a trial. At the end of the trial, your account will revert to the free plan unless you upgrade.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods. If you believe you were charged in error, contact us within 30 days.
You retain ownership of all content you create, upload, or store on Cwoted, including estimates, client information, and business details ("Your Content"). You grant us a limited license to host, store, and display Your Content solely to provide the Service. We do not sell your data to third parties.
Cwoted facilitates the collection of electronic signatures from your clients on proposals. You are responsible for ensuring that your use of electronic signatures complies with applicable laws in your jurisdiction. Cwoted records the signer's name, timestamp, and IP address for audit purposes but does not guarantee legal enforceability of signatures.

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime, data loss, or service interruptions beyond our reasonable control.
To the maximum extent permitted by law, Cwoted Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months prior to the claim.
The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or uninterrupted.
We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. You may request export of Your Content for up to 30 days after termination.
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
